License Terms

End User License Agreement (EULA) for the Data Quality App for Dynamics 365 & Power Apps. Copyright © 2026 Techdio ApS. Please read this license carefully before using the software.

1. License

By receiving, opening the file package, and/or using Data Quality App for Dynamics 365 or PowerApps ("Software") containing this software, you agree that this End User License Agreement (EULA) is a legally binding and valid contract and agree to be bound by it. You agree to abide by the intellectual property laws and all of the terms and conditions of this Agreement.

Unless you have a different license agreement signed by Techdio ApS, your use of Data Quality App for Dynamics 365 & PowerApps indicates your acceptance of this license agreement and warranty.

Subject to the terms of this Agreement, Techdio ApS grants to you a limited, non-exclusive, non-transferable license, without right to sub-license, to use Data Quality App for Dynamics 365 & PowerApps in accordance with this Agreement and any other written agreement with Techdio ApS. Techdio ApS does not transfer the title of Data Quality App for Dynamics 365 & PowerApps to you; the license granted to you is not a sale. This agreement is a binding legal agreement between Techdio ApS and the purchasers or users of Data Quality App for Dynamics 365 & PowerApps.

If you do not agree to be bound by this agreement, remove Data Quality App for Dynamics 365 & PowerApps from your computer now and, if applicable, promptly return to Techdio ApS by mail any copies of Data Quality App for Dynamics 365 & PowerApps and related documentation and packaging in your possession.

Evaluation and trial licenses are subject to all restrictions of this Agreement, are granted for internal evaluation purposes only, and terminate automatically at the end of the trial period.

2. Distribution

Data Quality App for Dynamics 365 & PowerApps and the license herein granted shall not be copied, shared, distributed, re-sold, offered for re-sale, transferred or sub-licensed in whole or in part except that you may make one copy for archive purposes only. For information about redistribution of Data Quality App for Dynamics 365 & PowerApps contact Techdio ApS.

3. User Agreement

3.1 Use

Your license to use Data Quality App for Dynamics 365 & PowerApps is limited to the number of licenses purchased by you. You shall not allow others to use, copy or evaluate copies of Data Quality App for Dynamics 365 & PowerApps.

3.2 Use Restrictions

You shall use Data Quality App for Dynamics 365 & PowerApps in compliance with all applicable laws and not for any unlawful purpose. Without limiting the foregoing, use, display or distribution of Data Quality App for Dynamics 365 & PowerApps together with material that is pornographic, racist, vulgar, obscene, defamatory, libelous, abusive, promoting hatred, discriminating or displaying prejudice based on religion, ethnic heritage, race, sexual orientation or age is strictly prohibited.

Each licensed copy of Data Quality App for Dynamics 365 & PowerApps may be used on one Dynamics 365 & PowerApps organization. Use of Data Quality App for Dynamics 365 & PowerApps means that you have loaded, installed, or run Data Quality App for Dynamics 365 & PowerApps in Dynamics 365 & PowerApps. If you install Data Quality App for Dynamics 365 & PowerApps onto a multi-organization, server or network, each and every individual Dynamics 365 & PowerApps organization of Data Quality App for Dynamics 365 & PowerApps must be licensed separately.

You may make one copy of Data Quality App for Dynamics 365 & PowerApps for backup purposes, providing you only have one copy installed on one Dynamics 365 & PowerApps organization being used. Other Dynamics 365 & PowerApps organizations may not use your copy of Data Quality App for Dynamics 365 & PowerApps. The assignment, sublicense, networking, sale, or distribution of copies of Data Quality App for Dynamics 365 & PowerApps are strictly forbidden without the prior written consent of Techdio ApS. It is a violation of this agreement to assign, sell, share, loan, rent, lease, borrow, network or transfer the use of Data Quality App for Dynamics 365 & PowerApps. If any person other than yourself uses Data Quality App for Dynamics 365 & PowerApps registered in your name, regardless of whether it is at the same time or different times, then this agreement is being violated and you are responsible for that violation.

3.3 Copyright Restriction

This Software contains copyrighted material, trade secrets, and other proprietary material. You shall not, and shall not attempt to, modify, reverse engineer, disassemble or decompile Data Quality App for Dynamics 365 & PowerApps. Nor can you create any derivative works or other works that are based upon or derived from Data Quality App for Dynamics 365 & PowerApps in whole or in part.

Techdio ApS’s name, logo, and graphics file that represents Data Quality App for Dynamics 365 & PowerApps shall not be used in any way to promote products developed with Data Quality App for Dynamics 365 & PowerApps. Techdio ApS retains sole and exclusive ownership of all right, title and interest in and to Data Quality App for Dynamics 365 & PowerApps and all Intellectual Property rights relating thereto. Copyright law and international copyright treaty provisions protect all parts of Data Quality App for Dynamics 365 & PowerApps, products and services. No program, code, part, image, audio sample, or text may be copied or used in any way by the user except as intended within the bounds of the single user program. All rights not expressly granted hereunder are reserved for Techdio ApS.

3.4 Limitation of Responsibility

You will indemnify, hold harmless, and defend Techdio ApS, its employees, agents, and distributors against any and all claims, proceedings, demand and costs resulting from or in any way connected with your use of Techdio ApS’s Software.

In no event (including, without limitation, in the event of negligence) will Techdio ApS, its employees, agents or distributors be liable for any consequential, incidental, indirect, special or punitive damages whatsoever (including, without limitation, damages for loss of profits, loss of use, business interruption, loss of information or data, or pecuniary loss), in connection with or arising out of or related to this Agreement, Data Quality App for Dynamics 365 & PowerApps or the use or inability to use Data Quality App for Dynamics 365 & PowerApps or the furnishing, performance or use of any other matters hereunder whether based upon contract, tort or any other theory including negligence.

Techdio ApS’s entire liability, without exception, is limited to the customers’ reimbursement of the purchase price of the Software (maximum being the lesser of the amount paid by you and the suggested retail price as listed by Techdio ApS) in exchange for the return of the product, all copies, registration papers and manuals, and all materials that constitute a transfer of license from the customer back to Techdio ApS.

3.5 Warranties

Except as expressly stated in writing, Techdio ApS makes no representation or warranties in respect of this Software and expressly excludes all other warranties, expressed or implied, oral or written, including, without limitation, any implied warranties of merchantable quality or fitness for a particular purpose.

3.6 Governing Law

This Agreement shall be governed by the law of Denmark applicable therein. You hereby irrevocably attorn and submit to the exclusive jurisdiction of the courts of Copenhagen, Denmark. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to this Agreement. If any provision shall be considered unlawful, void or otherwise unenforceable, then that provision shall be deemed severable from this License and not affect the validity and enforceability of any other provisions.

3.7 Termination

Any failure to comply with the terms and conditions of this Agreement will result in automatic and immediate termination of this license. Upon termination of this license granted herein for any reason, you agree to immediately cease use of Data Quality App for Dynamics 365 & PowerApps and destroy all copies of Data Quality App for Dynamics 365 & PowerApps supplied under this Agreement. The financial obligations incurred by you shall survive the expiration or termination of this license.

3.8 Competitive Use

The Software embodies valuable trade secrets and know-how of Techdio ApS, including without limitation its rule engine, matching logic, user interface, workflows and Data Health Studio concepts. You shall not, and shall not permit any third party to: (a) access or use the Software for the purpose of developing, marketing or supporting a product or service that competes with the Software; (b) copy or imitate any feature, function, workflow, interface or concept of the Software in any other product or service; (c) perform or disclose any benchmark, feature analysis or comparative evaluation of the Software to or for the benefit of a competitor of Techdio ApS, or publish any such analysis, without the prior written consent of Techdio ApS; or (d) circumvent, disable or interfere with any license enforcement or technical protection measures in the Software. Access to the Software by or on behalf of a competitor of Techdio ApS is prohibited without the prior written consent of Techdio ApS.

3.9 License Compliance and Audit

Upon reasonable written notice, and no more than once per twelve-month period, Techdio ApS may verify your use of the Software against the licenses purchased, including the number of Dynamics 365 & PowerApps organizations in which the Software is installed. You agree to cooperate with such verification and to promptly acquire any additional licenses required for use exceeding the licenses purchased.

3.10 Injunctive Relief

You acknowledge that any breach of Sections 2, 3.1, 3.3 or 3.8 would cause Techdio ApS irreparable harm for which monetary damages would be an insufficient remedy, and that Techdio ApS shall be entitled to seek injunctive or other equitable relief in any jurisdiction, in addition to any other remedies available at law, without the requirement to post a bond.

4. Disclaimer of Warranty

THIS SOFTWARE AND THE ACCOMPANYING FILES ARE SOLD “AS IS” AND WITHOUT WARRANTIES AS TO PERFORMANCE OR MERCHANTABILITY OR ANY OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED. THIS DISCLAIMER CONCERNS ALL FILES GENERATED AND EDITED BY DATA QUALITY APP FOR DYNAMICS 365 & POWERAPPS AS WELL.

5. Consent of Use of Data

You agree that Techdio ApS may collect and use information gathered in any manner as part of the product support services provided to you, if any, related to Data Quality App for Dynamics 365 & PowerApps. Techdio ApS may also use this information to provide notices to you which may be of use or interest to you.

The Software may be subject to export control and sanctions laws of Denmark, the European Union, the United States and other jurisdictions. You represent that you are not located in, under the control of, or a national or resident of any country or party subject to an applicable embargo or sanctions, and you agree not to export, re-export, or provide access to the Software in violation of any applicable export control or sanctions laws.

8. Feedback

If you provide Techdio ApS with suggestions, ideas or other feedback regarding the Software, Techdio ApS may use such feedback without restriction or obligation to you, and any improvements to the Software resulting from such feedback are owned exclusively by Techdio ApS.
